How long does it take to incorporate a company in Singapore?
Assuming all director and shareholder documents are signed, and your proposed company name does not trigger a secondary review by governing authorities (e.g., words like "Bank" or "Education"), ACRA typically approves the incorporation within 1 to 2 working days.
Can I use my home address as the registered business address?
Yes, under the Home Office Scheme, HDB and private property owners can use their homes as their registered business address. However, many founders prefer not to have their residential address listed on public public records. Our "Success Package" provides a professional CBD address to protect your privacy and elevate your corporate image.
What is a Company Secretary and why do I need one?
Under Section 171 of the Singapore Companies Act, every company must appoint a qualified Company Secretary within 6 months of incorporation. The secretary is legally responsible for maintaining your statutory registers, filing annual returns with ACRA, and ensuring the board of directors remains fully compliant with the law.
Can I act as the sole Director, Shareholder, and Company Secretary?
As a local resident (Citizen or PR), you can absolutely act as the sole Director and the sole Shareholder of your company. However, the law prohibits a sole director from also acting as the Company Secretary. You must appoint a separate individual or firm (like Hub) to fulfill the secretarial role.
Do I need to deposit the Paid-Up Capital immediately?
Yes, the paid-up capital stated during your incorporation (even if it is just S$1) must be deposited into your corporate bank account as soon as the account is successfully opened. This money is not locked away; you can use it immediately for business expenses.
What are my annual compliance obligations after I incorporate?
To remain compliant in Singapore, your Pte Ltd company must hold an Annual General Meeting (AGM), file an Annual Return with ACRA, and submit your Estimated Chargeable Income (ECI) and Corporate Tax Return (Form C-S/C) to IRAS annually, even if you are not yet generating revenue.
