Eligibility.

The client must appoint at least one managing director who will be responsible for the management of the company. The Nominee Director shall act as a non-executive director on the board of directors of the company. This means that he will not be responsible for matters concerning operations, management and finances of the company. He is also not the bank signatory.

To be eligible for this service, the company must also appoint VO+ as its Company Secretary.

As the Nominee Director bears a fiduciary duty to the company, we can only provide the Nominee Director Service for clients who meet our on-going due diligence requirement. This includes satisfying our Know-Your-Client (KYC) assessment (KYC is the process for businesses to identify and verify the identity of its clients) and other terms. We may also request for KYC reports on foreign directors (additional fees applies) and execute our Indemnity Agreement.

In view of the fiduciary duty, a refundable security deposit may be required to protect our Nominee Director against any unforeseeable circumstances. This deposit is refundable upon termination of service. This will depend on the type of business you will be setting up

The company’s past 3 months’ bank statements.

Company must ensure that its statutory tax filing is current and up-to-date.

Submit Documents.

  • A duly signed Nominee Director Agreement.
  • A duly completed and signed “Know-Your-Client” Form.
  • The past 3 months’ bank statements of the company.
  • The latest sales invoices / business contracts.
  • Identity Documents.
  • A copy of the passports of all Directors/Shareholders/UBOs.
  • Proof of residential address of Directors/Shareholder/UBOs (address must be written in English).

Processing Time.

Upon your inquiry, we will provide the following within 1 working day:

  • VO+ Company Incorporation Application Form and a list of required documents from you.
  • Price quotation.

Upon receipt of all required application forms and documents from you, we will conduct an application completeness check within 1 working day:

– Completed VO+ “Switch to Us” Application Form.

– Completed and signed “Know-Your-Client” Form.

– Company:

  • Latest sales invoices / business contracts (if applicable).
  • Past 3 months bank statements (if applicable).

– Directors/Shareholders/UBOs:

  • A copy of NRIC/passport (foreigner).
  • Proof of residential address (applicable to foreigner).
  • Email addresses and contact numbers of all directors, shareholders and UBOs.

We will prepare the following necessary documents:

  • Board Resolution.
  • Members’ Resolution.
  • Nominee Director Agreement.

Actions required by the client:

  • Please inform us a preferred date/time for you to visit our office for the signing of the documents. If the documents are to be signed remotely, you will need to visit a notary public for verification.
  • Please bring along your NRIC / passport for verification.

Invoice will be sent to you for full payment.

Once VO+ receives all completed documents and full payment and upon approval of our Internal Compliance Officer, we will proceed with the appointment of Nominee Director. This should be ready within 1 to 2 working days.
